TOB（株式公開買付）

 TOB（株式公開買付）は、Take-Over Bid の略で、ある企業（買付者）が、別の企業（対象会社）の株式を、証券取引所の市場を通さずに、株主から直接買い集める制度のことです。「株式公開買付け」と訳されます。

具体的には、買付者は、買付期間、買付価格、買付予定株数などを事前に公告し、対象会社の株主に対して、その条件で株式を売却するよう呼びかけます。

TOBの主な目的

• 経営権の取得・強化: 買付者は、対象会社の経営権を取得したり、より強い影響力を持つためにTOBを実施します。
• 子会社化: 既に一部の株式を保有している場合、残りの株式を取得して完全子会社化を目指すことがあります。

TOBの種類

• 友好的TOB: 対象会社の経営陣の同意を得て行うTOB。
• 敵対的TOB: 対象会社の経営陣の同意を得ずに行うTOB。

TOBの手続きの主な流れ

1. 公開買付の決定と公告: 買付者が買付期間、価格、株数などの条件を決定し、新聞やインターネットなどで公告します。
2. 公開買付届出書の提出: 買付者は、決定した内容を金融庁に届け出ます。
